An Agreement,
made this Fourth day of January, One thousand nine hundred and one BETWEEN TIN PAT HING and LI SAU SAN both of Victoria in the Colony of Hongkong Traders (hereinafter called "the Vendors") of the one part and TONG WAN CHIU, KE FAI SILAN and CHEUNG CHING SHAN all of Victoria aforesaid Traders (hereinafter called "the Purchasers") of the other part WHEREBY it is agreed as follows:---
1.-The Vendors shall sell and the Purchasers shall purchase the benefit interest and advantage of the Vendors of in and to the premises situate at or near the City of Kowloon in the said Colony more particularly defined on the plan hereto annexed and thereon surrounded by a Pink Line TOGETHER with the rights easements and appurtenances thereto belonging AND all the estate and interest of the Vendors therein TO HOLD the same unto the Purchasers absolutely SUBJECT nevertheless to the payment of such Crown Rent and to the performance of such Crown covenants and conditions as may be made payable and performable in respect of the said premises hereby agreed to be sold and purchased.
2.---The price shall be Twenty-five thousand Dollars.
3.--The said price shall be paid and the purchase shall be completed within one month after the Vendors shall have obtained a Certificate or other due recognition of the full and complete title and ownership of the Vendors to the said premises from the Land Court or Government of the said Colony of Hongkong.
4--Completion shall take place in accordance with clause three hereof at the office of MESSRS DEACON AND HASTINGS Solicitors for the said parties who shall prepare the Assignment.
5.-The obtaining of the said Certificate or other due recognition shall be sufficient evidence of the title of the Vendors to the said premises.
6.On payment of the said price in manner aforesaid the Vendors and all other necessary parties (if any) will execute a proper Assignment of the said premises to the Purchasers such assurance to be prepared by and at the expense of the Purchasers.
7.--Possession will be retained and the rents received and all outgoings discharged by the Vendors up to but exclusive of the actual day of completion and as from and inclusive of that day possession or the rents will be taken and outgoings discharged by the Purchasers and such rents and outgoings shall if necessary be apportioned between the Vendors and Purchasers.
